Notification of material agreement entered into between Austevoll Seafood ASA’s subsidiaries Austevoll Eiendom AS and Austevoll Laksepakkeri AS
Austevoll Eiendom AS and Austevoll Laksepakkeri AS, which are both wholly owned subsidiaries of Austevoll Seafood ASA, entered into an agreement on 20.02.2023 concerning the lease of commercial premises in Austevoll municipality for a period of 20 years.
Based on a real required rate of return of 5% p.a., the lease agreement has a total discounted value of approx. NOK 280,000,000 over the lease term. The Boards of Directors of Austevoll Eiendom AS and Austevoll Laksepakkeri AS have reported on and issued a statement on the lease agreement in accordance with section 3-8, cf. section § 2-6, of the Norwegian Private Limited Companies Act, and the lease agreement is considered to have been entered into on market terms. The reports have been verified by an auditor.
The lease agreement is considered to be in the interests of Austevoll Seafood ASA and its shareholders, as the subsidiary Austevoll Laksepakkeri AS is receiving a service in the form of lease of commercial buildings, while the subsidiary Austevoll Eiendom AS is receiving reasonable compensation for letting the premises.
The Board of Directors does not consider there are any factors of material significance to an assessment of the lease agreement.
This notification has been published on Austevoll Seafood ASA’s website in accordance with section 3-19 of the Norwegian Public Limited Liability Companies Act.

Melding om vesentlig avtale inngått mellom Austevoll Seafood ASAs datterselskaper Austevoll Eiendom AS og Austevoll Laksepakkeri AS
Austevoll Eiendom AS og Austevoll Laksepakkeri AS, som begge er heleide datterselskaper av Austevoll Seafood ASA, inngikk den 20.02.2023 en avtale om leie av næringsbygg i Austevoll kommune for en periode på 20 år.
Basert på et realavkastningskrav på 5 % p.a. har leieavtalen en samlet neddiskontert verdi på ca. NOK 280.000.000 for leieperioden. Styret i henholdsvis Austevoll Eiendom AS og Austevoll Laksepakkeri AS har gitt en redegjørelse for og avgitt erklæring om leieavtalen i henhold til aksjeloven § 3-8, jf. § 2-6, og leieavtalen anses å være inngått på markedsmessige vilkår. Redegjørelsene er bekreftet av revisor.
Leieavtalen anses å være i Austevoll Seafood ASA og dets aksjonærers interesse, da datterselskapet Austevoll Laksepakkeri AS mottar en tjeneste i form av leie av næringsbygg, mens datterselskapet Austevoll Eiendom AS mottar rimelig vederlag for utleien.
Det foreligger etter styrets oppfatning ikke andre forhold av vesentlig betydning for vurderingen av leieavtalen.
