Acquisition of Shares in Norway Pelagic ASA
Austevoll Seafood ASA ("AUSS") has today purchased 1,720,000 shares in Norway Pelagic ASA ("NPEL") at an average price of NOK 15.10 per share. Maximum price paid was NOK 15.50 per share. AUSS hereafter owns a total of 9,698,994 shares in NPEL representing 52.63 % of the outstanding shares in NPEL.
As a result of this purchase, AUSS has passed the mandatory offer threshold in the Norwegian Securities Trading Act.
AUSS intends to submit a mandatory offer to acquire the remaining shares in NPEL within the deadline of 4 weeks set forth in the Norwegian Securities Trading Act. The offer price will be NOK 15.50 per share.
AUSS is due to ownership represented on the Company's Board of Directors, and thus considered a primary insider of the Company pursuant to the Norwegian Securities Trading Act section 4-2 (1).

Som et resultat av dette har AUSS oversteget grensen for tilbudsplikt i henhold til verdipapirhandellovens bestemmelser.
AUSS har til hensikt å fremsette pliktig tilbud om kjøp av samtlige aksjer i NPEL innenfor fristen på 4 uker i henhold til verdipapirhandellovens bestemmelser. Tilbudsprisen vil være NOK 15,50 pr. aksje.
AUSS er på grunn av sitt eierskap representert i styret i Selskapet, og dermed å anse som primærinnsider i Selskapet etter bestemmelsene i verdipapirhandelloven § 4-2 (1).
